The terms that govern your access to and use of this website.
These Terms of Use ("Terms") govern your access to and use of the website operated by Solyx Systems, Inc. and its affiliates (together, "Solyx," "we," "us," or "our") (the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
You must be at least 18 years old and able to form a binding contract to use the Site. Where you use the Site in connection with a potential investment, additional eligibility requirements apply, including accredited-investor status and identity and source-of-funds verification.
Information on the Site about Solyx, the California Energy Infrastructure Fund, our projects, or the EB-5 program is descriptive only. It is not an offer or solicitation, and it does not form the basis of any contract or investment decision. Securities, if and when offered, are offered solely pursuant to a confidential private placement memorandum and related subscription documents (collectively, the "Offering Documents") under an applicable exemption from registration.
Nothing on the Site is investment, legal, tax, accounting, or immigration advice, and no fiduciary or advisory relationship is created by your use of it. EB-5 and private-placement investments involve complex, interrelated immigration, securities, and tax considerations. You should consult your own qualified advisors before making any decision.
Any offering referenced on the Site is intended to be conducted under Rule 506(c) of Regulation D of the U.S. Securities Act of 1933, as amended, and is available only to investors who are verified "accredited investors" as defined under applicable law. Communications on the Site directed at prospective investors are subject to that limitation.
The Site may contain forward-looking statements about projects, timelines, generation capacity, job creation, tax incentives, and financial or immigration outcomes. These reflect current expectations, involve known and unknown risks, and are not guarantees. Actual results may differ materially, and we undertake no obligation to update them.
The Site and its content — including text, graphics, logos, line art, data visualizations, and software — are owned by or licensed to Solyx and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive license to view the Site for your personal, non-commercial use. You may not copy, reproduce, distribute, modify, or create derivative works without our prior written consent.
You agree not to: use the Site for any unlawful purpose; misrepresent your identity, eligibility, or accreditation; attempt to gain unauthorized access to the Site or its systems; introduce malware or interfere with the Site's operation; or scrape, harvest, or collect information about other users.
The Site may link to third-party websites and resources, including the California Energy Fund and Texas Energy Fund sites (coming soon). We do not control and are not responsible for third-party content, products, or practices, and links do not imply endorsement.
The Site and its content are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.
To the fullest extent permitted by law, Solyx and its affiliates, officers, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or relating to your use of (or inability to use) the Site, even if advised of the possibility of such damages.
You agree to indemnify and hold harmless Solyx and its affiliates from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site or your breach of these Terms.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in California for any dispute not subject to arbitration or otherwise resolved.
We may revise these Terms at any time by posting an updated version on this page. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
Questions about these Terms may be sent to admin@solyxsys.com or through our contact page.
